Wisconsin LLC Annual Report and Yearly Duties
Wisconsin does something few states do: your annual report deadline is a quarter, not a date. There is no fixed statewide due date and no exact-anniversary deadline. The report is due by the end of the calendar quarter that contains your LLC's anniversary. If a site tells you Wisconsin reports are due on your anniversary date, or on one fixed day for everyone, it has the rule wrong.
Which Quarter Is Yours?
Find the quarter your LLC was formed in, and the last day of that quarter is your deadline each year:
- Formed January through March: due March 31
- Formed April through June: due June 30
- Formed July through September: due September 30
- Formed October through December: due December 31
The filing window opens on the first day of your quarter, and DFI sends a notice 60 to 90 days before the deadline. One exception to the quarter rule: foreign LLCs registered in Wisconsin all file in the first quarter, due March 31, no matter when they registered.
Wisconsin Annual Report Fee: $25 Online, $40 on Paper
Domestic LLCs pay $25 filing online and $40 on paper, the difference being a $15 paper surcharge. Foreign LLCs pay $65 online or $80 on paper.

Get Started- Go to DFI's online filing page and look up your LLC by name or entity ID.
- Answer every question. A report with blanks gets rejected and returned, so treat each field as required.
- Confirm your registered agent and the agent's email address; the email is a mandatory field. Listing one member or one manager is enough, since Wisconsin does not ask for a full roster.
- Pay the $25 fee and submit. Prefer paper? Print Form 5 (CORP5) and mail it with $40.
Late, and Then What?
Miss your quarter and DFI adds a $25 delinquency charge for each delinquent year. Stay delinquent and the department can administratively dissolve the LLC under Wis. Stat. § 183.0708. The report obligation itself sits in § 183.0210, and it applies every year whether or not anything about the LLC changed.
The Rest of the Year
The annual report is the only recurring DFI filing, but the registered agent requirement never pauses. Wis. Stat. § 183.0115 requires a Wisconsin agent with a real street address, an email on file, and consent to serve, every day the LLC exists.
