Wisconsin Registered Agent Requirements

Every Wisconsin LLC needs a registered agent from the day it is formed, and the rules come from one statute: Wis. Stat. § 183.0115. The agent is who the state, and anyone suing your LLC, is entitled to reach at a known Wisconsin address. Wisconsin adds a couple of requirements most states skip, so read the fine print before naming someone.

Who Qualifies Under § 183.0115

The statute allows three kinds of agent, and each must keep a business office identical with your registered office:

• A natural person who resides in Wisconsin
• A domestic corporation, nonstock corporation, LLC, limited partnership, or LLP
• A foreign entity of one of those types authorized to transact business in Wisconsin

Then come the two conditions people miss. The agent must consent to the appointment. And under § 183.0115(2), the agent must have an email address and a place of business or activity in Wisconsin. DFI enforces the email requirement in practice; the annual report treats the agent's email as a mandatory field.

What Counts as a Registered Office

The statute's own words: the registered office must be "an actual physical location with a street address and not solely a post office box, mailbox service, or telephone answering service." A rented mailbox or an answering service does not qualify, no matter how reliably the mail gets forwarded. Someone has to actually be there.

Can the LLC Be Its Own Agent?

No. Wisconsin is explicit about this: an LLC may not name itself as its own registered agent, and DFI's forms say so in as many words. What a Wisconsin-resident owner can do is serve personally, as a natural person, provided their business office matches the registered office and they meet the email and consent requirements above. That puts a name and address on the public record and an obligation to be present during business hours, so decide with eyes open.

Changing Your Registered Agent

Agent changes go on the Statement of Change, DFI Form 13 (Corp13), filed with the Division of Corporate & Consumer Services under § 183.0116. The fee is $10 online or $25 on paper (§ 183.0122(2)(a)8 sets the $10 statutory fee; paper carries the department's higher charge). The form and instructions are on DFI's site.
